SBA loan broker vs. direct lender for a business acquisition

Compare SBA loan brokers, direct lenders and readiness services: their roles, fees, lender access and what to ask before signing an LOI.

The lender makes the credit decision

A direct SBA lender evaluates the application, decides whether to extend credit, and sets the terms it is willing to offer. A loan broker or financing advisor can help prepare a file and introduce lenders, but cannot make a bank's lending decision. SBA's 7(a) program provides a guarantee to participating lenders; borrowers apply through a lender rather than obtaining an acquisition loan directly from SBA.

A preliminary buying-range estimate, readiness letter or encouraging call is useful for planning. None replaces a written lender decision and its conditions. Ask every provider to identify exactly what has been reviewed and what remains outstanding.

When starting directly with a lender can make sense

If you already know a lender that finances your target industry and transaction size, a direct conversation can establish its requirements and appetite quickly. Ask whether the lender will review both your qualifications and the target business before you sign an LOI, which financial documents it needs, and who will handle the acquisition file.

One lender's response reflects that lender's own requirements and appetite. If it declines, ask for the reason: an unresolved eligibility issue, unsupported earnings, insufficient funds and a mismatch with that bank's preferences call for different next steps. A second introduction does not fix a weak underlying transaction.

What a broker or advisor should add

The useful service is preparation and a reasoned choice of lenders. It may include organizing buyer and seller information, identifying gaps in the proposed structure, checking which lenders work with the industry, and coordinating the submission and follow-up. Request a concrete explanation of that work before agreeing to an engagement.

Ask which lenders the advisor can approach, how a lender is selected, whether you must grant exclusivity, who receives your information and whether an introduction requires your approval. A large advertised lender network does not establish that every lender is a good fit for your deal.

Compare compensation before comparing promises

Ask who pays the broker or advisor, what triggers payment, whether there is an upfront or cancellation fee, and whether different lenders pay different amounts. Obtain the engagement terms in writing. A lender-paid service may have no initial buyer charge, but that does not remove the need to understand its incentives and scope.

SBA Form 159 is the fee-disclosure and compensation-agreement form used with the 7(a) and 504 programs. Ask the lender and advisor which compensation disclosures apply to your transaction. Do not assume that every provider uses the same fee model or that a free introductory call means every later service is free.

Where a readiness service fits

A readiness assessment helps answer an earlier question: what needs to be resolved before a lender can evaluate this buyer and this business? A lightweight initial screen may use self-reported information. A document-based review has a different evidentiary basis. Ask whether the provider has verified funds, earnings and experience or has only modeled the information you supplied.

Emporio Partners provides preliminary buyer-and-deal readiness support and lender-fit coordination. Our first financeability check is free and starts without a credit pull or documents. It is not a lender approval. Where Emporio receives compensation in a financed transaction, it is typically paid by lenders or partners and disclosed where required. We do not guarantee a lender match or a closing.

A practical way to choose your next step

Before choosing a provider, write down the question you need answered. If you need to organize your own funds and experience before finding a target, start with buyer readiness. If you have a specific business, ask for a review of buyer capacity, documented target earnings and the proposed purchase structure together. If your file is already organized and you have a suitable bank, request direct lender feedback.

For example, a buyer considering a service business can prepare a preliminary purchase price, available funds, seller financial statements and a list of uncertain add-backs. A readiness service can identify gaps; an advisor can coordinate suitable lenders; the lender verifies the file and decides whether to offer financing. Use that division of responsibility to compare deliverables rather than relying on a provider's label.
